1. Acceptance of Terms

By accessing https://www.forman-services.com or using our services, you agree to these Terms. If you disagree, please discontinue use immediately.

2. Services Overview

Forman Services LLC provides government contracting consulting services:

• SAM.gov registration & renewal
• Federal/state certification assistance (8(a), WOSB, DBE, MBE, HUBZone)
• Proposal writing, review & submission support
• Government contracting strategy & growth consulting
• The GovCon Coaching Program (12-week educational program)

3. User Obligations

You must:

• Provide accurate, current, and complete business information
• Respond to document requests within 5 business days
• Maintain your SAM.gov registration and certifications annually
• Pay all fees per your signed agreement
• Understand that success requires your active participation

4. Payment & Refund Policy

• Consulting Services: 50% deposit required; balance due upon project completion
• GovCon Coaching Program: Full payment required before program start; non-refundable once access is granted
• Hourly Consulting: Billed monthly with 15-day payment terms
• Late Fees: 1.5% monthly on unpaid balances after 30 days
• Service Suspension: Non-payment may result in immediate service cessation

All fees quoted in USD. Prices subject to change with 30-day notice.

5. Intellectual Property Rights

All templates, worksheets, checklists, videos, and materials provided remain exclusive property of Forman Services LLC. You receive a limited, non-transferable license for your business use only.

Prohibited Actions (unless written permission granted):

• Sharing materials with non-clients
• Repurposing content for resale
• Posting materials publicly or in groups
• Creating derivative works

Violation will result in immediate termination and potential legal action.

6. Limitation of Liability

Maximum liability is limited to fees paid in the 12 months preceding any claim.

We are NOT liable for:

• Government agency denials or processing delays
• Revenue loss or business decisions based on our guidance
• Indirect, consequential, or punitive damages
• Lost profits or business interruption

7. No Warranty Disclaimer

Services provided "AS IS" without warranties. We do not guarantee:

• Continuous, error-free service access
• Specific financial outcomes or ROI
• Timely government agency responses
• Compatibility with all devices/browsers

8. Confidentiality

We treat your business information as confidential. However, you acknowledge that information submitted to government agencies becomes public record per federal law (e.g., SAM.gov registration data).

9. Termination

By Client:

You may terminate consulting services with 7-day written notice. Fees for completed work remain due.

By Forman Services:

We may immediately terminate for:

• Breach of these Terms
• Non-payment after 15-day cure period
• Misrepresentation of business status
• Harassment of staff or other clients
• Illegal activities

Upon Termination:

You lose access to all program materials and services. No refunds except where legally required.

10. Dispute Resolution

• Governing Law: State of New York (without conflict-of-law principles)
• Jurisdiction: Any disputes must be filed in Bronx County, New York
• Arbitration Option: For disputes under $15,000, either party may elect mandatory arbitration through JAMS under its Streamlined Rules.

11. Modifications to Terms

We may update these Terms at any time. Material changes will be notified via:

• Email to registered clients
• Website banner notice
• Updated "Effective Date" at top
